老船长笔记 - Charter Party 与 Fixture Note

毋庸讳言，世俗生活中，有太多的混淆不清的概念。

比如，文明是何物？文化又是何物？中华文明与中华文化，有多少小白能明确无误的解读？

其实，中国方块字还是很有意思的。文明、文化，重点要放在“明”与“化”字上理解。所谓“明”，相对野蛮而言，物质性；所谓“化”，是化育，精神性。

简而言之，文明是人类从野蛮向非野蛮的化育过程，文化涵盖文明，文明是文化的子集合。

同理的，在航运实践中，如同文化与文明的模糊不清，很多小白玩家搞不清租船合同Charter Party与Fixture Note的区别，以及Fixture Note相关条款的内涵。

如下，且试图澄清，以正视听。

租船合同Charter Party是船东与租家达成的协议，用以明确双方的经济、法律关系。

租船合同分为航次租船合同和定期租船合同，简称程租约（Voyage-Charter-Party）和期租约（Time-Charter-Party）。

为加速租船合同的订立，船东与租家通常都以某种标准租船合同格式作为基础，再根据运输具体要求，作必要的修改和补充。

因此，租船合同通常由两部分组成：

一是对谈判过程达成一致的内容做一个概要，形成书面fixture note，供双方签署，这部分往往是该租船合同的实质性内容；

二者，则是在条款中附加某个格式合同，比如金康94（"others as per Gencon 94"）。

如下是经典浓缩的Fixture Note:

It is on this date that mutually agreedbetween the undersigned parties on the terms and conditions asf:

1) Performing Vessel:Mv xxx or subpan flag， blt 1982，loa/bm 106/17m， dwt/dft 6644mt， on 7.745m grt/nrt 3905/2905， g/b capa 8778/8205cbm， 2ha/2ho，sid，derriks12mtx4

2) Cg5000mt Iron Ore in bulk,5%moloo,s.f 1.8

3) L/P:1sbp Venezuela

4）D/P: Shenzhen China

.....

18) Others as per gencon c/p 94.

简单的说，FixtureNote和租船合同并不完全一样，但是在实际中，Fixture Note就是租船合同。

Fixture Note的主要条款

1、Performing Vessel Particulars，载货船舶状况如船名等。

2、Owners，船东

3、Charterers，租家

4、Description of Cargo（CGO），货物信息，包括货物品名，重量，包装情况

5、LAY/CAN——Lay day And Canceling Date，受载期，船期。例如：Nov. 15-25，2023。如果超过LAY/CAN期限船舶还没到，或船舶还没做好受载的准备，租家有权决定是否解除租船合同。

6、Loading Port and Discharging Port，装货港和卸货港。

7、Freight Rate: 运费率。例如：20usd/MT，FIOST，Basis 1/1——20美元/计费吨，船东不负责装货、卸货、理舱和平舱，一装一卸。

FIOST是Free In and Out, Stowed and Trimmed，意为“船方不负责装、卸，理舱和平舱”。其中，In代表装船，Out代表卸船，Stowed and trimmed代表理舱和平舱。

其中，装卸条款如：

1）FIO：船东不管装（Free In）、不管卸（Free Out）。

2）FIOST：船东不管装（Free In）、不管卸（Free Out），也不管理舱（Free Stowed）、不管平舱（Free Trimmed）。

3）FILO：船东不管装（Free In），但管卸（Liner Out）。

4）LIFO：船东管装（Liner In），但不管卸（Free Out）。

5）Liner Terms：船东负责装卸，像（集装箱）班轮运输那样。

8.DownPayment，保证金，即预付多少海运费作为定金，例如30%。

9.LoadingRate，装货率。

例如：

5000MTPWWDFSHINC——每个晴天工作日5000吨，星期五、星期日

和节假日包括在内。

PWWD和SSHINC是航运术语，PWWD：Per Weather Working Day，意思是每晴天工作日；

SSHINC：Saturdays，Sundays and holidays included，意为星期日和节假日包括在内。

PWWD和SSHINC合起来就是“包括星期六、星期日和节假日在内的每晴天工作日”。

10. Demurrage，滞期费。

一旦船舶处于滞期状态，在计算滞期费时就不再减去周末这样的除外时间：Once on demurrage，always on demurrage（一旦滞期，永远滞期）。

好了，说明白了Fixture Note，那么最后要注意了，航运实践中，纠纷几乎是不可避免的。所以，Fixture Note总是要加入仲裁条款。

比如，Fixture Note 最后都有“Others as per Gencon c/p 94.”（或者其他合同格式）。

以 Gencon c/p 94.为例，其19条对仲裁提供了三种选择：

（a）适用英国法，伦敦仲裁；

(a) This Charter Party shall be governedby and construed in accordance with English law and any dispute arising out ofthis Charter Party shall be referred to arbitration in London ...

（b）适用美国法典第9条和美国海运法，纽约仲裁；

(b) This Charter Party shall be governedby and construed in accordance with Title 9 of the United States Code and theMaritime Law of the United States and should any dispute arise out of thisCharter Party, the matter in dispute shall be referred to three persons at New York...

（c）提交至25栏（第一部分）指定的地方仲裁，25栏指定地点的法律适用本租约。

(c) Any dispute arising out of this Charter Party shall be referred to arbitration at the place indicated in Box25, subject to the procedures applicable there. The laws of the place indicatedin Box 25 shall govern this Charter Party.

如果Fixture Note没有明确选择abc，则仲裁规定无效，但船东与租家依旧可商量寻找双方认为合适的仲裁法和地方。

Where no figure is supplied in Box 25 in Part 1,this provision only shall be void but the other provisions of this Clause shall have full force and remain in effect.

如上陈述，大概能厘清Fixture Note与租船合同关系。如同文明是文化的子集，Fixture Note是简版的租船合同，包括简洁的条款描述，最后加上经典租船合同关于仲裁条款，事成无虞！
